*About the Role:*
Our Administrative Department plays a pivotal role in ensuring the smooth operation of our business, and we are currently seeking a dedicated Corporate Paralegal to join our team.
The Corporate Paralegal will be responsible for facilitating seamless operations within the Administrative department by overseeing compliance with pertinent laws, managing the contract lifecycle, fostering collaboration among stakeholders, mitigating risks, and supporting estate administration and corporate duties.
*Responsibilities:*
*Compliance:*
* Ensure compliance with relevant legislation, government directives, and internal regulations.
* Prepare loan security and supporting documentation, conduct due diligence searches, and complete due diligence reports.
*Contract Drafting and Review:*
* Draft, review, negotiate, and approve various contracts, ensuring compliance with company policies, regulatory bodies, and applicable laws.
* Collaborate with legal counsel to address complex legal issues and ensure contract compliance.
*Contract Management:*
* Develop and maintain a comprehensive contract management system to track key milestones, deadlines, and deliverables.
* Monitor contract performance and compliance and initiate necessary actions to address deviations.
* Maintain a centralized repository for all contracts and related documents, processing amendments and renewals promptly.
*Stakeholder Collaboration:*
* Work closely with internal stakeholders to understand their contract needs and facilitate efficiencies.
* Collaborate with external parties, mainly suppliers, to negotiate favorable terms and conditions.
*Risk Management:*
* Identify and assess potential risks associated with contracts and propose mitigation strategies.
* Provide guidance on risk allocation and develop contingency plans for contract disputes.
*Compliance:*
* Stay informed about changes in relevant laws and regulations.
* Ensure contracts adhere to company policies and comply with legal and regulatory requirements.
*Additional Duties:*
* Provide assistance with estate administration matters, including preparing relevant documents and communicating with relevant parties.
* Generate regular reports on contract status, performance, and compliance metrics.
* Perform general admin tasks like sending couriers, managing own calendar and appointments.
* Maintain electronic files in the firm's internal drive.
* Perform any other duties as assigned.
*Qualifications:*
* Bachelor's degree in Paralegal Studies, Legal Studies, or related field.
* Previous experience as a corporate paralegal or in a similar role preferred.
* Strong knowledge of corporate law, contract law, and regulatory compliance.
* Excellent organizational and time management skills.
* Strong attention to detail and accuracy.
* Excellent communication and interpersonal skills.
* Ability to work independently and as part of a team.
* Proficiency in Microsoft Office Suite and contract management software.
* Certification as a paralegal is a plus.
